The compilation of all Content on the Site is the exclusive property of 4 Rivers and is protected by United States and international copyright laws. All software used on this Site is the property of 4 Rivers or its software suppliers and is protected by applicable intellectual property laws.

Subject to your compliance with these Terms, 4 Rivers grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial purposes only. This license does not include the right to:

• Resell or commercially exploit any Content on the Site;

All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

5. Ordering, Pricing, and Payment Terms

5.3 Cancellations and Refunds

Due to the perishable nature of food products, our cancellation and refund policy is as follows:

• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS;

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 4 RIVERS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities;

• Cost of procurement of substitute goods or services;

IN NO EVENT SHALL 4 RIVERS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO 4 RIVERS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN 4 RIVERS AND YOU. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

Nothing in these Terms shall limit or exclude liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable United States federal or state law, including rights under the FTC Act (15 U.S.C. § 45) relating to unfair or deceptive acts or practices.

9. Indemnification

You agree to defend, indemnify, and hold harmless 4 Rivers, its affiliates, licensors, and service providers, and each of their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use of the Site or our services in a manner not authorized by these Terms;
• Your violation of any applicable law, regulation, or third-party rights, including intellectual property rights and privacy rights;
• Any false, misleading, or inaccurate information you submitted through the Site;
• Your negligent or willful misconduct;

4 Rivers reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate fully with our defense of such claims. You agree not to settle any such claim without the prior written consent of 4 Rivers. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

11. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which 4 Rivers is registered and primarily operates, without giving effect to any choice of law or conflict of law provisions.

Subject to the Dispute Resolution section below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the federal or state courts having jurisdiction over the principal place of business of 4 Rivers, and you hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

The parties acknowledge that these Terms evidence a transaction involving interstate commerce. The Federal Arbitration Act (9 U.S.C. §§ 1-16) governs the interpretation and enforcement of the arbitration provisions below. Applicable federal consumer protection laws, including the Federal Trade Commission Act (15 U.S.C. § 45), also apply to your use of our services.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services by first contacting 4 Rivers informally. You agree to provide written notice of your dispute to 4 Rivers at [email protected], describing the nature of the dispute and the relief sought. We will attempt to resolve the dispute informally within thirty (30) days of receiving your written notice. If the dispute cannot be resolved informally within that period, either party may proceed with formal dispute resolution.

12.2 Binding Arbitration

EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT, ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES THAT CANNOT BE RESOLVED INFORMALLY SHALL BE RESOLVED THROUGH BINDING ARBITRATION, RATHER THAN IN COURT. You and 4 Rivers each agree to waive the right to a trial by jury and the right to participate in a class action lawsuit or class-wide arbitration.

Arbitration shall be conducted by a recognized arbitration body, such as the American Arbitration Association (AAA), under its applicable Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND 4 RIVERS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and 4 Rivers agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

12.4 Exceptions

Notwithstanding the above, either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending final resolution of a dispute. You may also assert claims in a small claims court of competent jurisdiction if your claim qualifies and remains in such court.

13. Term and Termination

These Terms of Service are effective as of the date you first access or use the Site and shall continue in full force and effect for as long as you use the Site or our services.

4 Rivers reserves the right, in its sole discretion, to suspend or terminate your access to the Site and services, with or without cause and with or without notice, for any of the following reasons (without limitation):

• Violation of any provision of these Terms;
• Conduct that 4 Rivers, in its sole discretion, believes is harmful to other users, our employees, our business, or third parties;
• Fraudulent, abusive, or otherwise unlawful activity;
• Requests by law enforcement or governmental authorities;
• Extended periods of account inactivity;
• Unforeseen technical or security issues or problems.

Upon termination of your access, your right to use the Site and services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions.

4 Rivers shall not be liable to you or any third party for any termination of your access to the Site or services. If you wish to terminate your use of the Site and any associated account, you may simply discontinue use of our services and, where applicable, request deletion of your account by contacting us at [email protected].

14. Changes to Terms

4 Rivers reserves the right to revise and update these Terms of Service at any time, in our sole discretion. All changes are effective immediately upon posting to the Site, and apply to all access to and use of the Site thereafter.

We will make reasonable efforts to notify you of material changes to these Terms by:

The remaining provisions of these Terms shall continue in full force and effect and shall not be affected or invalidated by the illegality, invalidity, or unenforceability of any other provision. The invalidity of a provision in one jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

No waiver by 4 Rivers of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of 4 Rivers to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or policies posted on the Site, constitute the entire agreement between you and 4 Rivers with respect to your use of the Site and services. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site and services.

These Terms do not create any partnership, joint venture, employment, franchise, or agency relationship between you and 4 Rivers. Neither party shall have the power to bind the other party or to incur obligations on behalf of the other party without the other party's prior written consent.

17. Force Majeure

4 Rivers shall not be liable for any failure or delay in performance of our obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics or public health emergencies, governmental actions or restrictions, strikes or labor disputes, disruptions to utility services, Internet or telecommunications failures, fire, flood, or other catastrophic events ("Force Majeure Events").

In the event of a Force Majeure Event, we will use commercially reasonable efforts to notify you and to resume performance of our services as soon as reasonably practicable. During the period of a Force Majeure Event, our obligations under these Terms will be suspended to the extent affected.
